The foundation values of the EnGenius Authorized EnPower Reseller Program are: Communication: In order to maximize the potential for cooperation and joint business, EnGenius believes strongly in clear and open communication between our Reseller Partners and EnGenius. EnGenius will endeavor to take a pro-active role in this communication process, but it is also necessary that you make a similar commitment to the success of this process. Pro-Active Partnership: To be successful, a partnership must leverage each other’s interests, assets and skills. EnGenius has defined sales and marketing support programs that will achieve this at a program level, and we will back this up with pro-active management at a field level and from your EnGenius Account Manager. Shared Investment, Shared Reward: Successful partnerships require both partners to make an investment in the success of the relationship. This investment should be proportionally rewarded. EnGenius recognizes you are making a significant investment – in both time and resources – in the success of the EnGenius wireless solutions. EnGenius will work with you to build a successful tong-term partnership that leverages your commitment to EnGenius and knowledge of our products.
IV. EnPower Reseller ProgramEnGenius created a new program offering channel partners the commitment to build a well-funded and more complete relationship. The following outlines and defines the partnership in the EnPower Program and the requirements and benefits for partnership.Authorized EnPower Reseller Partners have demonstrated an interest in expanding their relationship with EnGenius and have proven their commitment to sell and support EnGenius Products. To become an EnGenius EnPower Reseller Partner, a company must meet the following minimum requirements:

Not for Resale Demo Unit Kit – NFR / Demo Kit purchases are for internal training, demonstration to or evaluation by an end user customer, and/or protection of the resellers’ business network. NFR units may not be resold for a period of 6 months from initial registration and are limited to 2 units of any model per quarter with up to 50% off MSRP. Discount on First Purchase Order – EnGenius offers a one-time 10% discount (based on dealer purchase price from distributors PoS report) for new resellers who place there first purchase order. The purchase order must be placed within 30 days of registry in order to qualify and must be for a minimum of $1000. Proof of purchase is required within 30 days of invoice to claim rebate check. Volume Incentive Rebates (VIR) – Volume incentives give reseller cash rebates for purchases made in each product category with rewards increasing as volume increases. Volume incentive rebates are paid on calendar quarter basis. VIR rebate is calculated by dealer’s purchase price from distributor’s PoS report, and is written directly from EnGenius on calendar quarter basis. The volume incentive rebate breakdown is as follows: $3,000 per quarter for 2% / $6,000 per quarter for 3% / $10,000 per quarter for 5% Reseller is required to submit invoices (proof of purchases) and purchase returns from valid authorized distributors to EnGenius within 14 days from the end of previous calendar quarter. Reseller will be asked to provide W9 form to EnGenius in order to receive VIR rebate check. Final payout amount is at EnGenius sole discretion. This program may review and change every calendar quarter. Joint Sales Call Support – You will receive direct access to EnGenius’s pre-sales team professionals who can help you in technical and competitive sales environments. We assist in pre-sales support and designing network topologies in selecting optimum designs. Marketing Collateral Support – EnGenius is committed to partner visibility and raising awareness to help establish and nourish strong partner relationships. We provide a comprehensive and constantly changing set of company and product collateral. VI. EnPower Terms & ConditionsEnGenius Technologies reserves the right to enroll EnPower Reseller Partners at its discretion and to limit the participation and availability of all benefits, in whole or in part, to Reseller Partners. Participation in the EnPower Reseller Partner Program is subject to approval by EnGenius Technologies. EnGenius EnPower Reseller agrees to use its best efforts to resell EnGenius networking products and agrees not to participate in any gray marketing of EnGenius products. EnGenius EnPower Reseller has the sole discretion to set its prices for EnGenius products. However, EnGenius EnPower Reseller program benefits may be withheld at EnGenius’s sole discretion if EnGenius EnPower Reseller does not adhere to EnGenius Minimum Advertised Price Policy. EnGenius EnPower Reseller is required to have a sales force. EnGenius EnPower Reseller should purchase all of its EnGenius hardware from distribution channels. EnGenius EnPower Reseller will provide a monthly best effort forecast to its EnGenius Account Manager. EnGenius EnPower Reseller will list EnGenius as a Networking partner on its own website and have a dedicated link to EnGenius solution options. Confidentiality: Both parties shall maintain the confidentiality of these arrangements for up to six months after termination of participation in the program. Term: This agreement may be re-established upon agreement by both parties for a period not to exceed twelve months. Termination: Either party may terminate this agreement at any time with 30 days written notice. By completing and submitted the EnGenius EnPower Reseller Application the prospective partner is agreeing to the above listed terms and conditions. VIII.
